These Terms of Service govern your access to and use of RenderContext’s websites, dashboard, software development kits, APIs, and related services (collectively, the “Services”). RenderContext is operated by Cutting Soup Pty Ltd (ABN 88 665 504 272) (“RenderContext”, “we”, “us”, or “our”). By using the Services, you agree to these terms. If you use the Services for an organisation, you confirm that you have authority to bind that organisation.

You must provide accurate account information, keep your credentials secure, and promptly notify us of unauthorised access. You are responsible for all activity under your account and for ensuring that your use of the Services, including any data you submit or collect through them, complies with applicable law and the rights of others.

You retain ownership of the data you submit to the Services. You grant us the limited rights needed to host, process, transmit, secure, and support the Services for you. You are responsible for the accuracy, quality, and legality of your data and for obtaining all necessary permissions to use it with the Services.

Our handling of personal information is described in our Privacy Policy. Do not use the Services for highly sensitive personal information unless we have expressly agreed in writing that the Services are suitable for it.

We may modify, suspend, or discontinue any part of the Services at any time. The Services are provided on an “as is” and “as available” basis. We do not guarantee that they will be uninterrupted, secure, error-free, available at any particular time, or meet your requirements. Unless we expressly agree otherwise in writing, we do not provide a service-level agreement or uptime commitment.

You may stop using the Services at any time. We may suspend or terminate your access, remove content or data, or take other action where we reasonably believe it is necessary to protect the Services, users, or third parties, or where you breach these terms, create risk, fail to pay amounts due, or use the Services abusively. We may take that action at our discretion and, where appropriate, without prior notice. We will handle Customer data remaining after termination in accordance with the Privacy Policy. We are not liable for a suspension or termination made under this section except where liability cannot lawfully be excluded.

6. Intellectual property

We and our licensors retain all rights in the Services, including their software, design, and documentation. Subject to these terms, we grant you a limited, non-exclusive, non-transferable, revocable right to use the Services for your internal business purposes. You may provide feedback, but we may use it without restriction or compensation.

7. Disclaimers and limitation of liability

To the maximum extent permitted by law, we disclaim all warranties, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, non-infringement, and accuracy. You use the Services at your own risk.

To the maximum extent permitted by law, RenderContext and its suppliers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, goodwill, data, or business opportunity, arising from or related to the Services or these terms. Our total liability for all claims arising in any 12-month period is limited to the amount you paid us for the Services during that period, or AUD $100 if you paid nothing.

Nothing in these terms excludes, restricts, or modifies rights or remedies that cannot lawfully be excluded, including applicable consumer guarantees.

8. Indemnity

To the maximum extent permitted by law, you will indemnify and hold harmless RenderContext and its personnel from claims, losses, liabilities, and expenses (including reasonable legal fees) arising from your data, your use of the Services, or your breach of these terms or applicable law.

We may update these terms from time to time. We will post the revised version here and update the “Last updated” date. Where reasonably practicable, we will give notice of material changes, unless immediate changes are needed for legal, security, or abuse-prevention reasons. Continued use after an update takes effect means you accept the revised terms. If any provision is unenforceable, the remaining provisions remain in effect. These terms do not create any agency, partnership, joint venture, or employment relationship.

These terms are governed by the laws of Australia. You and we submit to the non-exclusive jurisdiction of the courts of Australia and their courts of appeal, except where mandatory law requires a different forum.
